TrueServe Property Care
(Trading name of Badham Developments)

1. DEFINITIONS AND INTERPRETATION

1.1 In these Terms:

  • "Company" means Badham Developments trading as TrueServe Property Care

  • "Customer" means the person or entity engaging the Company's services

  • "Services" means all property maintenance, repair, installation, and related services provided by the Company

  • "Contract" means the agreement formed upon acceptance of a booking through our platform or other means

  • "Property" means the premises where Services are to be performed

  • "Materials" means all goods, equipment, and supplies provided by the Company

  • "Quote" means the pricing estimate provided for Services

  • "Working Days" means Monday to Friday excluding public holidays

 
2. CONTRACT FORMATION

2.1 These Terms govern all Services provided by the Company and form part of every Contract.

2.2 A Contract is formed when the Customer accepts a Quote or books Services through our platform, subject to the Company's confirmation of availability.

2.3 The Company reserves the right to decline any booking at its absolute discretion.

2.4 All Contracts are subject to a site survey where the Company deems necessary.

 

3. SERVICES AND PERFORMANCE

 

3.1 Service Standards:

  • a) The Company shall perform Services with reasonable care and skill

  • b) Services shall be performed by appropriately qualified personnel

  • c) All work shall comply with applicable building codes and regulations

  • d) The Company shall use materials of satisfactory quality

3.2 Access and Cooperation:

  • a) The Customer shall provide safe and reasonable access to the Property

  • b) The Customer shall disclose any known hazards or special conditions

  • c) The Customer shall ensure utilities (water, electricity, gas) are available as required

  • d) The Customer or their representative should be present during service provision where reasonably required

3.3 Variations:

  • a) Any changes to the agreed scope of work must be confirmed in writing

  • b) Additional costs arising from variations shall be agreed before commencement

  • c) The Company may suspend work until variation terms are agreed

 

4. PRICING AND PAYMENT

 

4.1 Pricing:

  • a) All Quotes are valid for 30 days unless otherwise stated

  • b) Prices include VAT where applicable

  • c) Fixed prices apply only where specifically stated

  • d) Additional costs may apply for work outside normal hours or emergency callouts

4.2 Payment Terms:

  • a) Payment is due immediately upon completion unless credit terms have been agreed

  • b) The Company may require payment in advance for materials

  • c) Interest at 8% per annum above Bank of England base rate shall accrue on overdue accounts

  • d) The Company reserves the right to suspend Services for non-payment

4.3 Additional Costs: The Customer shall be liable for additional costs arising from:

  • a) Unforeseen complications or underlying defects

  • b) Changes to specifications or scope

  • c) Delays caused by the Customer or third parties

  • d) Additional materials or specialist equipment requirements

 

5. CUSTOMER OBLIGATIONS

 

5.1 The Customer warrants that:

  • a) They have authority to engage the Company's Services

  • b) All information provided is accurate and complete

  • c) They hold appropriate permissions for the work to be undertaken

  • d) The Property is insured against damage

5.2 The Customer shall:

  • a) Provide timely access to the Property

  • b) Remove or protect valuable items and furnishings

  • c) Ensure compliance with health and safety requirements

  • d) Notify the Company immediately of any concerns or issues

 

6. HEALTH AND SAFETY

 

6.1 The Company shall comply with all applicable health and safety legislation and maintain appropriate insurance cover.

6.2 The Customer shall ensure the Property presents no unreasonable health and safety risks and shall immediately notify the Company of any hazards.

6.3 The Company reserves the right to cease work where unsafe conditions exist.

 

7. INSURANCE AND LIABILITY

 

7.1 Company Insurance: The Company maintains:

  • a) Public liability insurance (minimum £2,000,000)

  • b) Employers' liability insurance

  • c) Professional indemnity insurance where applicable

7.2 Limitation of Liability:

  • a) The Company's total liability shall not exceed the value of the specific Contract

  • b) The Company excludes liability for indirect, consequential, or economic losses

  • c) The Company's liability for property damage is limited to the cost of repair or replacement

7.3 Customer Responsibility: The Customer is responsible for:

  • a) Ensuring adequate property insurance

  • b) Any damage caused by their failure to follow reasonable instructions

  • c) Pre-existing defects or conditions not disclosed

 

8. WARRANTIES AND GUARANTEES

 

8.1 Workmanship Warranty: The Company provides a 12-month warranty on workmanship from completion date, subject to:

  • a) Normal wear and tear exclusions

  • b) Proper use and maintenance by the Customer

  • c) No unauthorised modifications or repairs

8.2 Materials Warranty: Materials are subject to manufacturer warranties which the Company shall assign to the Customer where possible.

8.3 Warranty Exclusions: Warranties do not cover:

  • a) Damage from misuse or negligence

  • b) Normal wear and tear

  • c) Failure to maintain or service equipment

  • d) Acts of God, vandalism, or third-party damage

 

9. CANCELLATION AND TERMINATION

 

9.1 Customer Cancellation:

  • a) Services may be cancelled with 24 hours' notice without charge

  • b) Cancellation with less than 24 hours' notice may incur charges

  • c) Cancellation after commencement may result in charges for work performed

9.2 Company Termination: The Company may terminate any Contract where:

  • a) The Customer breaches these Terms

  • b) Payment is overdue

  • c) Access is denied or conditions become unsafe

  • d) The Customer becomes insolvent

10. INTELLECTUAL PROPERTY

10.1 All designs, specifications, and technical information remain the Company's intellectual property.

10.2 The Customer grants the Company permission to photograph completed work for marketing purposes unless specifically objected to in writing.

11. DATA PROTECTION AND CONFIDENTIALITY

 

11.1 The Company shall process personal data in accordance with applicable data protection legislation.

11.2 Both parties shall maintain confidentiality regarding commercially sensitive information.

12. FORCE MAJEURE

 

12.1 Neither party shall be liable for delays or failures due to circumstances beyond their reasonable control, including but not limited to adverse weather, industrial action, or government restrictions.

13. COMPLAINTS AND DISPUTES

 

13.1 Complaints Procedure:

  • a) Complaints should be raised immediately with the supervising engineer

  • b) Formal complaints must be submitted in writing within 7 days

  • c) The Company undertakes to respond within 10 working days

13.2 Dispute Resolution:

  • a) Disputes shall first be addressed through direct negotiation

  • b) Unresolved disputes may be referred to mediation

  • c) Legal proceedings shall be governed by English Law

14. GENERAL PROVISIONS

 

14.1 Entire Agreement: These Terms constitute the entire agreement and supersede all prior negotiations and representations.

14.2 Variation: These Terms may only be varied in writing signed by both parties.

14.3 Severability: If any provision is deemed invalid, the remainder shall continue in full force and effect.

14.4 Assignment: The Company may assign this Contract without consent. The Customer may not assign without written consent.

14.5 Governing Law: These Terms are governed by English Law and subject to the exclusive jurisdiction of English Courts.

14.6 Third Party Rights: No third party has any right to enforce these Terms.
